  • Corporate and Commercial
    Our team of due diligence experts analyses the target company's commercial, tax and legal circumstances in order to minimise the potential risks and ensure that our clients pay a fair price for the businesses being acquired. As an integral part of the M&A team, our experienced advisers fully understand the acquisition or investment process and are committed to highlighting risks and providing clients with proactive solutions.
  • Tax
    In the context of tax due diligence investigations, we assess the target company's tax risks and advise on the optimal structure of the transaction in relation to tax matters. Conducting a due diligence on a target entity is integral to any merger or acquisition. A due diligence review of the target entity's tax affairs is necessary to establish that there are no significant undisclosed tax liabilities. Not limited to normal income tax, the review would also include indirect taxes, PAYE, STC and other taxes that the entity may be exposed to. Our tax team has a wealth of experience in conducting tax due diligences on a wide variety of companies across the full spectrum of industries.
  • Employment
    We undertake employment law due diligences in relation to, for example, any form of transfer of a business undertaking and service as a going concern, or the purchase of shares. The results of this process form the basis of the valuation and apportionment agreements required by section 197 of the Labour Relations Act (LRA).
